Article 1 DEFINITION
In these Terms of Use, the terms listed below shall have the
following meanings;
(a) "Software" shall mean the Server-Type Filtering Software ("SFS"),
Label Bureau ("LB") and Option Software, if any, and the subsequent
versions thereof, the details of which, including any information on
the current versions, are available on Internet Association's ("Our")
Web site.
(b) "Services" shall mean Label Bureau Service and Public SFS Service, the
details of which are available on Our Web site.
(c) "Rating" shall mean rating the information on the Internet in
accordance with certain criteria.
(d) "SafetyOnline2 " shall mean the criteria for Rating which We have
developed and established, the details of which are available on
Our Web site.
(e) "Label Data" shall mean the data obtained by the Rating, in accordance
with SafetyOnline2, of the information included on various web-pages
on the Internet.
(f) "User" shall mean an individual or entity who made the application for
the use of the Software and/or Services upon the acceptance of these
Terms of Use.
Article 2 COPYRIGHT
2.1 The Copyright ownership in and to the Software belongs to Information
Processing Promotion Business Association and New Media Association
(Jointly "Copyright Owners") and the licensors ("Licensors") thereof
and the Software is protected by International Conventions and
Copyright Law.
2.2 We grant User a non-exclusive and non-transferable license to use the
Software in accordance with these Terms of Use, and no the ownership
right in and to the Software is assigned or transferred to User.
Article 3 LICENSE
We grant to User a non-exclusive and non-transferable license, free of charge, to;
(a) install the software into the Subject Machine (a machine which conforms
to the environmental requirements described on Our Web site), and use
the Software in the Subject Machine, and
(b) access and use the Services.
Article4 UPDATE OF LABEL DATA
4.1 The Label Data which are facilitated via LB may, from time to time,
be changed and updated at Our sole discretion, which shall not be
construed to be Our obligation.
4.2 We will exert Our reasonable effort to improve the accuracy or
precision of the Label Data; however, the Label Data is provided
"as is" without any representation or warranty whatsoever, and We
make no warranty of any kind, whether expressed, implied, or under
law, including, but not limited to, the completeness, perfection,
reliability, appropriateness, accuracy and precision of the Label
Data.
Article 5 PROHIBITION
User shall not engage in any of the following acts;
(a) to distribute, transmit or provide, by any means, all or part of the
Software to any third party;
(b) to change, alter, adapt, de-compile or disassemble all or part of the
Software;
(c) to decode all or part of the Label Data or any encoded data which are
included in the Software, or to distribute, transmit, provide or
disclose, by any means, the Label Data to any third party; or
(d) to engage in any activities which We consider would interfere with
Our Purpose or business, by means of the use of the Software or the
Services
Article 6 DISCLAIMER AND LIMITATION OF LIABILITY
6.1 THE SOFTWARE AND SERVICES ARE PROVIDED "AS IS" WITHOUT ANY
REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESSED IMPLIED,
OR UNDER LAW, INCLUDING BUT NOT LIMITED TO, THOSE WITH REGARD
TO ANY PROGRAMMING ERRORS OR OTHER DEFECTS IN THE SOFTWARE,
ANY MERCHANTABILITY, THE FITNESS FOR ANY PARTICULAR PURPOSE,
THE NON-EXISTENCE OF ANY COMPUTER VIRUS, THE APPROPRIATENESS
OF THE RESPONSE, ACCURACY, PRECISION, OR RESULT OF THE USE,
OR TRUTHFULNESS AND RELIABILTY OF THE SOFTWARE AND THE SERVICES.
6.2 WE, COPYRIGHTS OWNERS AND LICENSORS SHALL NOT BE OBLIGED TO REPAIR,
FIX, REFORM, MAINTAIN OR UPDATE THE SOFTWARE AND/OR THE SERVICES
OR BE LIABLE FOR ANY DAMAGES TO THE USER, INCLUDING BUT NOT LIMITED TO,
DAMAGES BASED UPON ANY LOST PROFIT, LOSS OF BUSINESS CHANCE,
LOSS OR DESTRUCTION OF DATA, OR CLAIM FROM ANY THIRD PARTY,
RESULTING OR ARISING FROM THE USE OF THE SOFTWARE OR SERVICES.
Article 7 MAILING LIST
User may participate in the mailing list of SFS for administrators,
using the Software or Services.
Article 8 CHANGE
8.1 The Software and the Services may be changed or altered, from time
to time, without any prior notice to User. Please refer to and
confirm the current information on Our Web site.
8.2 We reserve the right to make any change in or add new provisions to
these Terms of Use without any prior notice to User. When User
continues to use the Software or the Services after such change or
addition, such User shall be deemed to have accepted the change or
addition.
Article 9 TERMINATION
9.1 The license to use the Software and the Services granted to User
under these Terms of Use shall become effective upon the User's
use thereof, and shall be terminated upon the occurrence of any
of the following ;
(a) when User has ceased to use the Software and has deleted or eliminated
the Software from the Subject Machine or when User has ceased to use
the Services; or
(b) When We have submitted a termination notice to User who has breached
any provision of these Terms of Use.
9.2 User who has received a termination notice from us under the preceding
paragraph shall immediately cease the use of the Software and delete or
eliminate it from the Subject Machine
Article 10 WITHDRAWAL OF THE SERVICES
We reserve the right to withdraw the provision of the Services, at any time,
and at our sole discretion, with prior notice via an announcement on Our Web site.
Article 11 GOVERNING LAW AND FORUM
11.1 These Terms of Use shall be governed by the laws of Japan.
11.2 Any and all disputes or suits relating to or arising from these
Terms of Use shall be submitted to the Tokyo District Court.
These Terms of Use shall become effective from September 17, 2002.
